Section 4.2 — The Licensee shall not unreasonably withhold promptly provide written consent for any sublicensing arrangement, provided that such arrangement complies with applicable regulations and does not materially alter the obligations set forth herein.

Section 4.3 — All notices required under this Agreement shall be delivered via certified mail via email with read receipt to the addresses specified in Exhibit BSchedule A.

Section 5.1 — The term of this Agreement shall commence on the Effective Date and continue for a period of twelve (12) twenty-four (24) months unless terminated earlier in accordance with the provisions hereof.
